Lawyers Virtually Call the Tune in Redmond

You can usually divide tech companies into two groups: those that are basically run by their engineers and those that are run by the marketeers. But the current squabble Microsoft is having with itself over the virtualization language in the Vista EULA demonstrates the Redmond giant seems to belong in a third category: those companies that are run by their lawyers.


As Eric Lai's excellent analysis details, virtualization presents Microsoft with some unique problems as far as how its DRM and EULAs work, or don't work, with each other. After all, not only does virtualization make it easy to get around Vista's plethora of anti-piracy schemes, it also will be easier for the Vista-run home entertainment systems that populate Redmond dreams to sidestep the DRM of the music and movie industries.

But corporate customers have some serious plans for virtualization, so Microsoft's original compromise was to use the Vista EULA to prohibit use of virtualization for Vista Home Basic and Home Premium editions but to allow it with Vista Business, Vista Ultimate, and Vista Enterprise. But no doubt there were many in Redmond, both engineers and marketeers, who were unhappy with that solution.

It's inevitable that one of the main uses of virtualization technology in the coming years is going to be by Linux and Intel Mac users who need to run a Windows app or two and don't mind the performance hit of a virtual system. Microsoft had to choose as to whether to punish such people for their choice of operating system or to treat them as a market opportunity. They've chosen the former, it appears.

Which is pretty stupid. After all, anyone who wants a virtual PC running Vista basically has three choices. You can buy a full retail version of Vista Business, which costs at least a hundred bucks more than Home Basic (and far more if your system came with a Window OEM license). You can buy Vista Home Basic (or use or upgrade your OEM license), but then you'll be violating the Vista EULA by using it in a virtual system. Or, since you're going to be illegal in Microsoft's eyes anyway, you can just acquire a Vista-enabled virtual PC and just not pay for it at all.

Sure, some are going to opt for pirating it no matter what choices they have, but why push the rest in the same direction? Clearly, last week's aborted attempt to give the Vista EULA more lenient virtualization language shows that many in Redmond recognize it's silly to keep the EULA this way. Engineers understand that Microsoft has to make its peace with virtualization, while marketeers are going to recognize that encouraging legal use of virtual PCs could be a way to try to win back those who've soured on Windows.

So where did the pressure to keep the Vista EULA unchanged come from? It's got to be the lawyers. Who else is going to think that the solution to fighting a form of piracy that DRM can't prevent is to have a prohibition against it deep in the fine print? It's not the first time that Microsoft has allowed its very large and influential legal team to influence its thinking in the wrong direction, but it might be one of the dumbest.

even the bad guys get it right. Particularly given the current crops of lawyers who seem to be more intent on making law a business (class action lawsuits: $19 each to members of the class, $Millions for the lawyers).

BTW Ed, the "Post As" function has a serious issue. If one uses the "Preview" button, the system resets to the logged-in name, not necessarily a good thing.

It's $19.00 off your next purchase assuming that you would even have an interest in continuing to deal with a company that screwed you.  In my case, Sprint offered $X dollars off your next cellphone bill for its improper billing practices.  Since we had dropped Sprint, we didn't see a dime. The lawyers, amazingly get cash!!!!!

Since when has law not been a business? I've worked for lawyers in the past. They're mostly decent people who work hard to make a living, just like you do. And most companies, be they law firms or not, exist to make a profit. That doesn't mean that class action suits are good or even right. But a portion of the legal trade is a business, and always has been.

I can't believe I'm posting on behalf of any company that's being flogged in Ed's column, but I have to here. Over the years, I have purchased dozens, perhaps hundreds of software items from Digital River and their subsidiaries. I've only had two problems with them, neither of which was their fault. I needed their help in cancelling my order for Norton Antivirus 2007, which I did because of its incompatibilities with Spy Sweeper and Zone Alarm. I was able to reach a helpful D.R. support representative by phone, who provided the relevant contact information at Symantec. I doubt if I spent more than a minute on hold. Several years ago when D.R. first became affiliated with Chase Bank, I was flagged by Chase's security department for reversing a second charge from McAfee for the single program I bought from them. It was bad bank policy, but a supervisor at D.R. straightened it out right away, and I've never had a problem since. If I had to hazard a guess why I was double billed, I would point the finger at IE5, which locked up during my first attempt to purchase. I have seen any number of sites that don't work right when any version of IE has to process cookies or script, no matter what you've specified as OK or trusted. Firefox has been a 99.9% effective solution for me.

If it sees virtualization as an opportunity then it should have allowed Vista Home Basic and Vista Home Premium to be used in virtual machines. Microsoft only wants people to buy the more expensive versions and this is probably also another reason such a ridiculous clause is written into the Vista EULA.

Personally I won't care what the EULA says. If I need to use Vista in a VM then I will make use of the Home versions if necessary. There is no technical restriction (unless the software vendors like VMware and Parallels place the restriction themselves). Microsoft said it is illegal? So what?

Of course, the fact is that for virtualization there is absolutely no need to use any version of Vista and I won't pay for a single copy. On my Macbook I have 4 Parallels VMs, 2 Windows 2000 and 2 Windows XP. They are good enough for running the occasional Windows programs I need. Microsoft will not get any further revenue from me.

Maybe what actually happened here is that the lawyers realized that by allowing virtualization they would make all the DRM ineffective, and would thus be in breach of some of the outlandish contractual obligations they have no doubt entered into with the media moguls. Just speculating, of course, but it would explain the flip flop very nicely. I'd also point out that M$ lawyers aren't really afraid of supporting M$ bad business practices in flouting or pushing the limits of anti-trust, misappropriation of others intellectual property, etc. They must have had a fairly compelling reason for this flip flop, and I doubt that "lost revenue" from higher priced licenses was the cause.

Microsoft has been sued into either giving away IP or creating contracts that no other company would even dream of complying with literally all over the world. It is any wonder that when the latest comes out from redmond, the lawyers haven't had at it to help prevent further lawsuits?
