Microsoft Anti-Piracy Program Has Hard-Edged EULA

Windows users who download Microsoft's new Windows Genuine Advantage (WGA) Notifications application aren't just agreeing to have anti-piracy nagware installed on their computer. They are also agreeing to the harshest Microsoft End User License Agreement I have ever seen, and that's saying something. Not only does Microsoft place restrictions on your right to criticize the software, it won't allow you to uninstall the software or to test it in an operating environment.


A reader reported yesterday that he started to download a high priority update from the Windows Update site that turned out to be the already controversial beta WGA Notification software. The reader had gone through the WGA validation process before and knew he has a valid XP license, so he was willing to download the update until he was presented with a EULA for the pre-release software.

"Why would it have an end user license agreement?" the reader puzzled. "Is this just a way to foist a new 'agreement' on end users? What possible reason could there be for a license agreement on this type of software? The only reasonable explanation I can think of for a EULA on this is to rewrite prior agreements. And what am I being asked to agree to?"

So that everyone can see for themselves the terms the reader was presented, I've posted the WGA Notifications EULA in the EULA Library on the Gripewiki. Late yesterday afternoon a Microsoft spokesperson was able to confirm for me that the EULA I've posted is indeed the license agreement for the WGA Notification software during the pilot program. "The WGA Notifications is still in limited pilot mode in the U.S., so only a subset of customers who have Automatic Update will receive the EULA," the Microsoft spokesperson said. "The EULA is shown to customers who have AU turned on. Only after the user accepts the EULA is the software installed." One provision in the EULA that really puzzled the reader, and me, was this one:

You may not test the software in a live operating environment unless Microsoft permits you to do so under another agreement.

Wait a minute, said the reader. "I'm being asked by Microsoft to install this software in a working operating environment," he noted. "If that's not a definition of a 'live' operating environment, then we need a definitions section of the agreement. Otherwise, it seems I'm being asked to install the software as long as it's not in a working copy of Windows XP."

Along with that head scratcher, there are many other disturbing terms in the WGA Notification EULA. You aren't allowed to uninstall the software, even though it's pre-release software that presumably can be buggy. Information that Microsoft gathers about your computer can be shared with other hardware and software vendors. Any feedback you give Microsoft belongs to them to do with as they please and you give up all rights to it. And the EULA contains a new version of Microsoft's no-benchmarking censorship clause that says:

You may not ... disclose the results of any benchmark tests of the software to any third party without Microsoft's prior written approval

Now, I've been raging about how Microsoft uses the no-benchmark-publishing-without-permission clauses in its server and development products for many years, but at least in those areas Microsoft can argue that its competitors often have censorship clauses of their own. There is no such excuse for such a restriction on software that general consumers are being "invited" to install in order to monitor their licensing compliance and that in the future might prevent them from downloading critical security updates and bug fixes. In fact, it strikes me as an outrageous abuse of Microsoft's monopoly power to even hint it has the right to keep anyone from criticizing the WGA Notification software in any way.

At least for now, fortunately, use of the notification software is voluntary, although we have to assume that, just as other formerly voluntary aspects of the Windows Genuine Advantage program were, it will soon be made mandatory. For now, though, the reader was able to do what anyone with sense should do when presented with this nasty EULA: decline to accept it and refuse to download the update. "As I say, I can't imagine why they would have a EULA at all for Windows Genuine Advantage Notification," the reader wrote. "Indeed, I think it leaves very little question about who will be taken advantage of."

Hello I dont understand .... i have tried to install the WGA notification and havent got any EULA ... even some of my frnds have tried and there is no EULA being asked ... i have checked the whole of the MS website .. cant find it there too ... if this is a official EULA then it should have been posted on the MS website ... can anyone send me a link to the EULA on MS website ... thanks

Let's be honest, it's never worth taking the time to read a Microsoft EULA because you have no choice. Windows remains the predominant PC OS; it's already on the box sitting in front of you. MS Office is the standard in the business community and most ancillary MS products are embedded in the OS, so you can't not accept their installation. If you see something that you don't like in the EULA, what are you going to do about it? You literally have no choice, whether you like it or not, whether it makes sense or not. So, save yorself some time and just click Agree. Go ahead and give up your first born child... Hmmm, maybe that's part of the MSoft solution to the forecast shortage of developers a decade hence...

Someone should deliberately and flagrantly violate this MS EULA, advertise the fact widely, and when they get sued, argue that MS EULAs are unenforceable contracts of adhesion. A blatantly unfair EULA in a de-facto monopoly's product will be a relatively easy case and opens the way to invalidating more and more onerous EULAs.

If need be, the suit could even be brought proactively by the consumer -- surely attempting to shove a very one-sided contract of adhesion down someone's throat constitites grounds for some kind of legal action in itself?

Of course, we need a reasonably well-to-do philanthropic volunteer...

I guess one test would be installing it on a genuine windows, and on one or more pirated versions (obtaining this is of course a problematic issue) and see if WGA does it's job correctly or not. One could also do minor eula violations like installing something other than the pre-loaded version and see if it detects that. Does it impact the performance of de-facto standard benchmarks (not at all familiar with these, but 3dmark, pcmark etc?)
But I think the important thing with this and a lot of other clauses is "selective enforcement", just another nice to have tool to bludgeon disobedient customers.

Besides, would anyone really expend the resources of fighting a full-scale microsoft funded lawyer fishing expedition lasting possibly for years?

You know, Ed, the EULA doesn't specify that the test be meaningful, valid, or even accurate. It also doesn't differentiate between positive and negative conclusions.

So, for example: "CPU core temperatures did not significantly increase after installation, thereby proving that the WGA software does not affect performance and must be a really great thing to have. To ensure validity, temperature changes were compared with running CAD software, and graphics intense games, both of which did increase the CPU core temperature."

The above ridiculous example would be just as much a violation of Microsoft's ridiculous EULA as any other benchmark or conclusion. If Microsoft doesn't enforce it's EULA, I believe a case could be made about selective enforcement, or malicious prosecution, or that MS abandoned the EULA.

I believe the whole EULA nightmare boils down to the following question: Who owns my desktop? I have a receipt for it... doesn't that mean I own it?

Dave: You're quite right, of course -- I have the Constitutional right to publish even a stupid benchmark without asking Microsoft's permission, and I'd like to think there's not a court in the land that would deny that, no matter what the WGA Notifications EULA says. (But, then again, when you look at what some of our courts have said in cases like the Blizzard/Bnet case, maybe there are some judges who are ready to say that EULAs trump the 1st Amendment.)

The reason I won't publish a stupid benchmark though speaks to why these censorship clauses aren't justified: I won't publish something that I don't believe is worthwhile because I value my credibility. If an honest publicaton does something stupid by mistake, it will correct it when the mistake is pointed out. If a dishonest publication intentionally publishes false benchmarks, there are libel, defamation, misrepresentation and other laws to cover it.

We apply for a grant from the Bill and Melinda Gates Foundation -- such grant would provide services for "disadvantaged" consumers who want to go to arbitration over "difficulties" with computer software and the manufacturers. The grant would cover the cost of the consumer's attorney as well as the cost of going to arbitration. Then ... a poor "disadvantaged" consumer who really didn't understand this new EULA can use the services to take Microsoft through arbitration! Works for me. =;o)

Yes, it's the predominant OS, yes, it's the standard Office suite. But you do have a choice. I've switched to Linux, it comes with a good Office suite that reads and writes MSoffice formats. Sure there are some things missing (can't burn a DVD movie), but for day-to-day email, word processing, web surfing, spreadsheets, it works just fine.

Well, I can contradict that quite easily.

I initially selected this WGA Notification thing at Microsoft Update, along with a bunch of other stuff.

It presented me with the EULA. I read it. I did not like the terms, so I cancelled out.

Then I started again and this time did not select WGA Notification.

So, obviously:

1. I did have a choice

2. It was worth reading the EULA, else I would not have known until too late that I didn't want the software

So, in what sense was what you said anything to do with reality?

The point is, once you AGREE to the EULA, THERE IS NO WAY OUT. You cannot change your mind at some point - because of some "undocumented" feature that isn't mentioned in the EULA - and reverse it.

PS: it's a bandwidth eater. Do not run on a corporate network unless your backbone is strong. How often does it connect to Microsoft anyway? Is this in the EULA?

The process specifically cannot be stopped, and the program will not let you uninstall (and before you throw Microsoft's "we allow users to uninstall" statement at me... go check it again. It's changed).  

You practically have to do some hackery to remove it... yes, it involves smashing the DMCA to tiny little pieces.

I didn't read the EULA and declined the prerelease software. I have Windows Update set so that I receive notice of updates but I must take action to download and install the updates I select. I started receiving notice after notice for a critical update -- the same WGA software I declined. I already had verified my Windows so I didn't want to bother with it again. I tried declining again. To make a long story shorter, after a couple of days I finally just accepted the darn thing to keep from being annoyed by messages arising from my task bar. I read most of the EULA, felt disgusted, and approved it anyway.

I too set the checkbox to hide that particular "update" but now Microsoft Update nags that I have hidden an important critical update every time I use update. Update is also set up to make it very easy to unintentionally unhide the update. You have to be careful to not install this trash.

...is that is plain doesn't work!! I installed it on a perfectly legal system, and it started complaining about being a counterfeit. Not just me -- there are *lots* of posters on micro$oft's own newsgroups having the same trouble. If not for the suggestions for removing it, I would still be nagged. Now, do you suppose the M$ is going to compensate all of us unfortunates for the time and trouble it took to figure out how to un-do their own crap??!?!?!

I would like to know why Microsoft thinks they should be able to collect information about my hardware and software. If that is not enough, then they plan to share it with Third Party Vendors. It seems like Spyware to me. Microsoft has gone too far with this piracy thing. Maybe they need to be sued for violating our rights. After I read the EULA, I did not install the software. When I tried to download from their site, I was informed that I had to validate before I could download. You may be able to get critical updates, but not much more!

While certainly amiguous, I'm equally certain that "operating environment" is a reference to running WGA 2 on a vitual Windows PC running under VMWare. It's totally stupid because savvy sysadmins responsible for patching a company's desktops use virtual Windows PCs to test MS patches for breakage. This is probably in reaction to WMWare's release of their free virtual machine player. It's now possible to create a fully approved virtual Win XP SP2 / 2K3 machine and load it on multiple PCs without MS knowing. If you're going though a firewall with NATting, you could have a 1000 PCs running Linux hosts with virtual WinXP machines and MS can't tell. Guy

My dads computer displays this warning at his work, and funny he actually bought the software too. On the other hand, this is awful! Trust me though, I mean with 90% of the world using Windows, theres bound to be a hacker or two that will find a way to not only remove this crap but also figure out a way to STILL get the updates skipping this one, who knows, lets wait to see what happens.

One can't even claim to have bought the operating system since you never actually own it. M$ owns the software. You are paying for the right to use it. You never actually own it. No wonder OSS is gaining ground.

I was talking to a friend who alerted me about how his computer was displaying the screen too and how he bypassed it by simply renaming or deleting some DLL file...not sure.

I'm getting this too now. It shows up as a "high priority" (i.e., critical) update, along with the exploit patches and other genuinely important bugfixes. And if you hide it, it nags at you.

Seems there's a lot of updates coming out of Redmond lately. It's averaged maybe one every two weeks for months, but so far this May I've already had three or four updates show up, one of them a batch of three containing the WGA tripe, and another yesterday a batch of four containing the WGA tripe again. I installed everything else, hid the WGA one, and rebooted last night. This morning, no sooner do I sit down at the box than *pop*! "New updates are available for your computer..."

Disturbing also that they reinforce n00b and novice user confusion about what is what. New updates are available for my *operating system*, not the hardware, you nincompoops. I just don't know whether they're trying to reinforce customer naivete and computer-illiteracy for nefarious purposes (easier to take advantage of, harder for them to switch to linux), with a well-meaning intent of "user-friendliness", or because the dolts that program this stuff don't know the difference themselves. Given what MS code tends to do to any hardware or data or third-party software with which it comes into contact, I'm leaning heavily towards that last explanation.

A client installed this on his Desktop. I add to replaced some old files with IE 7 (beta) and Defender.
Each time, I clicked on the download I had to downlad the Windows Genuine Advantage (WGA) Notifications tool and wait will it generated a code. Did I tell you that the Windows Genuine Advantage (WGA) Notifications tool lasts for one download?
