Mandatory Arbitration Clauses

What's the worst sneakwrap term of all? We've seen a lot of good candidates for that honor, but perhaps the most pernicious of them of all is also among the most ubiquitous: the mandatory arbitration clause.


On the surface, arbitration clauses look relatively benign. You might even think they offer a good way for the consumer to get a fair shake, since they don't require you to hire a lawyer. Consider this one:

"Any dispute or controversy arising out of or relating to the Agreement or its interpretation shall be settled exclusively and finally by arbitration ... in accordance with the Rules of Conciliation and Arbitration of the International Chamber of Commerce."

At least in comparison, that's pretty innocuous. But, in fact, it's the mandatory arbitration provision at the heart of a miscarriage of justice that's perverted our legal system for almost a decade. I've written in some detail before about the Hill v. Gateway case, one of a number of lawsuits brought against Gateway over a computer it shipped in 1995 with components that were not as advertised. But let's look briefly at how the arbitration clause worked in that case.

By the rules Gateway's arbitration language cited (which could only be obtained by writing an organization in France), each party had to pay a non-refundable fee of $2,000. So once the judge ruled that the terms Gateway snuck into the package with its computer were actually a valid contract, the only recourse open to the Hills would cost them more money than they could possibly hope to be awarded. While on-line discussions and articles in InfoWorld, PC World and other trade publications at the time confirmed that the system had been sold under false pretenses, Gateway went unpunished.

No matter how badly you've been treated and how legitimate your greviance, mandatory clauses block your access to the legal system. And, far more than Gateway's language, nowadays the sneakwrap terms are even more blatantly one-sided. Many arbitration clauses in many software EULAs and online service agreements give the company the right to take the consumer to court, but not vice versa. And we saw recently how one vendor's arbitration clause actually requires the consumer to pay company's staff $300 per hour to attend the arbitration proceedings. At least under the logic the judge applied to the Hill case, there is no reason why that term wouldn't be just as enforceable as he ruled Gateway's to be.

As we certainly know by now, though, judicial decisions that ignore consumer interests are just a part of the landscape we live in, particularly in this country. (Yes, in case you're wondering, Hill v. Gateway is a heavily-cited precedent by what I can only call the UCITA lobby in the Blizzard reverse engineering case.) What's worse, increasingly the fine print in the consumer agreements from the larger corporations in almost every industry includes mandatory arbitration clauses. Credit cards, insurances, mortgages, housing contractors, service contracts, and limited warranties for all kinds of goods come sneakwrapped with language where you give up your right to sue no matter what they do to you.

Since we obviously can't depend on the courts to prevent legal travesties like the Gateway case, how can we protect ourselves? The only way is to seek out those vendors that don't use mandatory arbitration clauses, and make our displeasure known to those who do. Arbitration is a reasonable way to settle a dispute when both sides choose to enter the process voluntarily. But as Gateway demonstrated almost a decade ago, when only one side gets to do the choosing, it can be the worst sneakwrap of all.

As far as I am concerned, the American Public in general will keep getting screwed as long as big business and big government continue to sleep in the same bed. Our country has not been "for the people" in a loooong time. Maybe the "Give Me Back My Rights" coalition can be a good start to the general public standing up to the big people with big money. It may take some time but I think a revolution may be just what we need.

Let's LAF about this. As you said, the consumer is getting screwed whether they can litigate or arbitrate. It is no longer a matter of competition with superior products or services in the industry for your dollar. It is about who can provide the least and get away with the most without being sued for raping Joe Customer. I quit buying Gateway products years ago, and I am surprised to see people still haven't learned. Support your local economy and community!!! You can get better products (& SERVICE) for about the same or less from your local neighborhood white box/clone computer store. This is my way of giving the finger to those long distance usurer corporate bastards and showing them there are other alternatives!

Yes ... if you can find it, that is. Guess what's in the stores in the local mall though? Big name brands. Guess which get the lion's share of advertising time in your area? Big name brands. Simply finding these "local" stores probably means actually actively searching for them. Most people will probably be unaware whether one even exists near them, let alone what it's called and where it is. And of course the local Future Shop or similar big electronics chain store is going to push them out of business at some point in the near future.

It might be that arbitration isn't fair, but neither is going to court. Say, for example, that the Gateway case you mentioned had gone to court. Gateway hires a pack of expensive lawyers. After all, they don't want a precedent. The victim, on the other hand, wants relief of a thousand or so dollars. Can he afford to pay an attorney? No way. If he doesn't, can he win? I think we can all answer that.

While the Gateway case was able to make consumers waive their rights to legal action for punitive damages, as far as I am aware, one (or even a corporation) cannot bury a clause in terms of service that exempt one from abiding by the law. Since, in the Gateway case, fraud was committed (product delivered did not equal product advertised) and since the fraud crossed state boundaries, this seems a perfect case for referral to both state and federal prosecuters. The aggrieved parties might not receive remuneration, but if enough vendors have their @$$eS tossed in jail for fraud, they may be more forthright in their business dealings.

I just opened my bank statement yesterday only to find another "service contract" aggreement change (seems like there's one about every other month). Unlike 99% of the receipients, I always take the time to read them to see what the bank is doing to me this time... And as you might have guessed, if I am to continue to do business with them, I'm obligated to use arbitration for any dispute I might have with the bank. My interpretration of their language is that even if they basically STEAL my money, I can not sue them or join in any class action suit against them. My only recourse is to agree to binding arbitration (paying my share for that "service"). Of course THEY still retain full rights to sue me if THEY come out on the short end of a deal. So now I'm contempting changing banks, but I suspect whomever I switch to will see how their competition is protecting themselves and will soon follow suit. btw - The bank is Bank One soon to be Chase..

Try a local credit union. Unlike banks, credit unions are a form of cooperative, owned by its account holders. A credit union will treat you a lot better.

Credit Unions and S&Ls are FDIC insured just like banks. Plus they often treat you better, have better terms, better hours. I've never figured out the advantage of a bank. Maybe there is one, but I think I'll stick to my free checking, no fees, no minimum balance, interest bearing account.

Gateway was eventually punished by the market - though this was unlikely to satisfy the customers they screwed. They were flying high in the 90's. Now they're lucky to be a company. Their hardware was crap, their service was crap, and they treated their customers like crap. One example is their arbitration clause and their method of (not) infoming their customers of the terms of the contract.
