Bentley's Cover-All or Surrender Maintenance

As we know, many software companies feel perfectly justified in not giving anything -- even bug fixes -- to business customers who don't have a maintenance agreement. But Bentley Systems appears to have taken that one step further with its cover-all-licenses or surrender-all-licenses policy.


"We had purchased two software packages several years ago from Haestad Methods, before they were bought out by Bentley," writes an engineer for a municipal public works department. "On one of them - an hydraulic design product called Flowmaster - we had not elected to extend the client service agreement. We then discovered our IT department had accidentally overwritten some of the Flowmaster licensing files, and we found out from Bentley that they wouldn't give us a copy of those without having their client service agreement."

Bentley certainly isn't the only software company that might require a customer to renew their maintenance agreement in such circumstances, but there was going to be more to it in that. "We also had a paid-up copy of another Haestad Methods product called PondPack," the engineer wrote. "They wouldn't let us purchase a new copy of Flowmaster, or get the service agreement on it, unless we also renewed it for PondPack. They informed us that Bentley has a 'Cover One Cover All' policy which apparently requires us to purchase a service agreement for all of their programs we own if we want to cover any of them."

As his department had planned to renew the PondPack maintenance anyway, they were still willing to go ahead and get a year's worth of Bentley's Select service agreement for both packages, at a cost of around $1,200. "However, after we determined that we wanted to cover the two programs that this department had previously purchased, Bentley Systems then informed us that the city also had three old copies of their Microstation program," the reader wrote. It turned out that the city's police department had two licenses for the Microstation CAD program, and a third city department had the other. "Although the Microstation copies were purchased by different departments, Bentley said that these would also need to either be covered at a cost of $625 per license per year or these licenses would need to be surrendered."

In an e-mail to the engineer's department, Bentley explained its policy. "The Select program is a cover one cover all program," the Bentley representative's e-mail read. "All licenses must be covered. The best way to decide whether or not you are going to surrender the unused licenses is this. If you will be using them at all in the next five years, you will want to cover them. If not, surrender them and pay only the Select on the others. By surrendering, you will lose the ability to ever upgrade or cover that license. In essence, you are promising us you will never use it again. I would strongly urge you to cover them. What would you like to do?"

The Microstation licenses aren't being used all that much, the engineer says, so the city is certainly not inclined to spend over $1,800 on Select agreements for them. "We don't use them very much anymore, so we've decided they are not worth the cost to keep them current," he wrote. If Bentley doesn't reconsider its position, "surrender" is therefore the only logical option. "It looks like we will surrender the Microstation licenses -- especially since their function can be handled by other programs like AutoCad," the engineer says.

But while that may be what the city has to do, the engineer's colleagues in the other departments are not very happy about having to give up the Microstation licenses that they paid for. After all, separate departments bought separate products from what at the time were separate software companies -- why should they now have to make the kind of choice Bentley is leaving them with? As with so many other software companies we've seen, Bentley's maintenance program seems to be more about maintaining company revenues than customer satisfaction.

What it actually sounds like is Haestad bought out Bentley. These are the types of manuevers that Haestad was (in)famous for. I am sure we will be encountering the same problems in another couple of months. Unfortunately, this is how things seem to be moving - definitely for CAD-software, but it wouldn't surprise me to see it move to other programs as well. Part of the problem here also, is that many software manufacturer's will give away their products to local, State and the Federal Government. Then, those agencies requires their consultants et al. to use use the same software. Of course, the consulting firms charge the fees for those products right back to the projects that they are working on for the Government Agencies. And the manufacturer makes out like a bandit. Consulting firms cannot win projects if they don't have the required software.

they started doing this a year ago. You have to cover everything you own, even if you have the product sitting unused in a closet or don't care about upgrading it. The only way to remove a product is to send a letter to Check Point on company letterhead signed by an officer of the company swearing you have decommissioned the product and will no longer use it! Our CIO had to get involved. If at some point in the future you decide to start using it again, you have to pay for all the maintenance you skipped to bring it current. Essentially with CP, you buy the product new every 2-3 years. I don't think anyone's 'maintenance' approaches theirs in terms of percentage yearly costs. They wanted $30K maintenance for my small company's 4 low-end Nokia/FW-1 firewalls! The Nokia maintenance is of course extra, and the way CP licenses it, our support is only thru Nokia. We could actually toss them and replace with new comparable Cisco PIX models for less. I convinced management to do that, but we didn't have time this year. We probably will dump CP next year. I guess there finally is a company as greedy and as overpriced as Check Point. I honestly thought I'd never see the day.

Well, Here is one more software vendor I will have to reccomend that my government clients stay away from. I wouldn't buy any product from a company like this. I have already convinced most of my small clients to dump their intuit software. While I am not sure anyone I currently work with uses Bentley's systems, if I find one I will have to work diligently to help them find an alternative. This is just too great a cost to ignore or capitulate on.

Sounds like we may have to start fighting back by creating a separate company for each separate license. When the decision is made to no longer pay for additional support for a given copy, the company that owns it, just quits paying the bill for support of the one asset it owns. It means no volume discounts but it might just be cheaper in the long run. I'm sure the EULA's restrict this kind of behavior, but 1-it'd be some work to figure out it's happening and 2-the battle in court would be messy for the software vendor (they'd have to admit to this rediculous behavior).

Perhaps their Legal Dept. should pursue Bentley for a tying arrangement. Such arrangements used to illegal under antitrust law but I don't know if they apply to software. If they don't they should.

Just wait until Microsoft hears about this! Can you imagine having to pay a maintenance fee for every product you ever bought from Microsoft or face the possibility of having to surrender ALL your software?

Bentley has a software tool for managing network license pools for most of their software products -- as long as you're a maintenance subscriber. Our problem is they seriously waffle on allowing us to manage one license pool for the whole company. They want us to manage separate pools for every physical site location, even though the whole company is all connected through one network.

So, they will not license their products separately for different divisions or sites of a company (or city gov), yet they insist that companies manage their licenses separately per division or site. Doesn't that seem odd?

As a previous poster mentioned, their policy got worse about a year ago.

That's Bentley for you. At one time we had 8 MicroStation licenses and decided to "mothball" 3 while manufacturing was slowed. They came back last year and said "pay up or give up". Needless to say, we returned the 3 inactive licenses. The best part though: Bentley is advertising in Cadalyst magazine (Feb 2005, pg 29), bemoaning AutoCAD's "forced retirement" program (no more support for older versions of AutoCAD) and the advertisment says "You Deserve Better" Hey Bentley brothers, you're right WE do!

This type of tactic would come to an abrupt end if enough consumers, companies, and governments would simply decide to do without such a vendor's products. And the buyers should create a Do Not Deal With list of such vendors. There is no product, software or otherwise, that you or your company or your government can't learn to do without! By the way, usually a company will change its policies if only 10% of its customers open rebel.
