Unsettled by the Sony Settlement

I suppose my expectations for the lawsuits against Sony BMG over its copy-protected CDs are just too high. After all, it's probably too much to hope for that a major international conglomerate would actually suffer any serious consequences just because it irresponsibly inflicted dangerous DRM and an outrageous EULA upon its customers. Perhaps the proposed settlement really is the best that could be expected, but there is something about it that bothers me.


Alex Eckelberry of Sunbelt Software has posted on his blog a proposed settlement for a consolidated group of class actions brought against Sony in the U.S. District Court for Southern New York. Reading through it, I could certainly see a number of things about the settlement that I liked, such as the incentive programs to encourage customers to disinfect their machines and a commitment on Sony's part to have its privacy practices monitored. It was particularly amusing to see Sony agree to try to get iTunes as one of the download services customers could use to get bonus music, since Sony all along has been pointing fingers at Apple when customers complained they couldn't move tunes to their iPods.

And at least the settlement doesn't ignore the EULAs that come with the CDs that have either the XCP or MediaMax DRM installed. Sony agrees that in the future it will not install DRM on a customer's computer before they get to see and agree to the disclosures about the DRM in the EULA. And one very good aspect of the settlement is that Sony waives its consequential damage liability limitation clauses for individual legal actions, meaning that those whose computers or networks were actually damaged by the DRM could bring individual actions seeking compensation.

Still, though, it was something about the way the settlement discusses the EULA provisions that was my biggest problem. This paragraph describing what Sony is agreeing to do might illustrate it best:

"Defendants have agreed to waive certain of their rights under the XCP and MediaMax EULAs. These waivers will allow consumers to remove the XCP and/or MediaMax software from their computers, listen to the audio files across all file formats and in all portable music players, and choose not to download future updates of the XCP or MediaMax software. Once these provisions are waived, consumers will not have to be in possession of the Sony BMG CD to hold a license for the audio files, will not be precluded from copying music files and other digital content on the CDs, will be allowed to resell the CDs, and will not lose their licenses for the software if they file for bankruptcy protection or are declared insolvent. Also, Defendants waive their rights to be indemnified by users of the XCP or MediaMax software for harm arising from their use of the software."

So Sony has waived all of the most obnoxious terms we previously saw in its EULA. Isn't that a good thing? Well, in a way, but think about what this is saying. The "rights" that Sony is being such a good sport to say it will not enforce in this instance include its right to take away a paid-for license because a customer is insolvent, the right to say which competitor's devices the audio files can be played on, and the right to have customers indemnify Sony for the harm Sony has caused them.

Call me a dreamer, but I had hoped one result of this litigation would be that no company has those kinds of "rights" just because of a few terms in the sneakwrap fine print. Sure, it's swell that this settlement requires Sony, if its puts DRM on its CDs before 2008, to have a EULA that discloses everything the software does in plain English. But the settlement doesn't preclude Sony from using its EULA to once again claim the same rights as it did this time. In other words, Sony can basically do the same thing again - next time it just has to disclose what it's doing a little more clearly and completely in its EULA. And come 2008, Sony is free to revert to the old EULA or, for that matter, to go find a new rootkit to use on its CDs.

I'd say this settlement is a slap on the wrist for Sony, except that might be exaggerating the severity of the punishment it's receiving. Let's hope that other legal actions not covered by this settlement, such as the Texas Attorney General's investigation, go a little further in curtailing the reckless use of DRM and EULAs. Is it too much to hope that, rather than Sony being begged to waive some of the rights it thinks it can grant itself, there might be an acknowledgement that we customers have a few rights of our own?

EULAs do NOT give vendor "rights"[ Reply to This ] (none / 0) (#1)

Ed has correctly identified an implicit deficiency in the proposed settlement. Ed wrote "Call me a dreamer, but I had hoped one result of this litigation would be that no company has those kinds of "rights" just because of a few terms in the sneakwrap fine print."

Back on Oct. 11, 2005, I wrote "We have a logical flaw in many of our discussions.  In many cases we simply acquiesce to the assertion by a corporation that their "bad" business practices are actually legal.  We then react by either advocating switching to a different product, which is an appropriate solution; or by living with the corporate definition of legal.  We need to question (refute) the corporate imposed definition of "legal"."

Sony does not possess "rights" as alluded to in the settlement agreement, the use of this word is unfortunate because its use implies that a "right" exists.  Much like an unchallenged lie, if repeated often enough it can then be perceived as truth.  

Of course I need to conclude by stating that I am NOT a lawyer and what I have said is from the perspective of a layperson.

Can anyone enlighten me as to why companies feel the need to include provisions such as this? In other words, what do they gain by including wording such as this in a EULA? I just don't see the point.

... notably AutoDesk.

I suspect the idea is to prevent a bankrupt company from selling used copies of the software along with their other assets, which are likely to go at fire-sale prices and thereby undercut the retail price for the software. This can amount to hundreds or even thousands of copies, which could make a significant dent in retail sales numbers for many specialty applications.

No, it stems from the '70s & early '80s.  Most EULAs are created by copying - and adding to - existing ones.  (Copyright infringement is rampant in the lawyering industry!)  Which is one reason EULAs keep getting longer.  If you're not sure why it's there, you "might as well" leave it in.

Originally for mini- or mainframe software which - unlike today had a very significant low- or zero-cost (to customer) support built in, you did not want a small company turning into a big company and having many more users to support all on the original deal.  Some situations were unavoidable of course, but bankrupt companies being bought by others was one you could reign in easily.  So this clause was standard.  

Later "per seat" licenses, and later still profit-center based maintenance agreements, removed the real need for these clauses.  But hey, everyone accepts them, and everyone else has them, so can't hurt, let's leave them in ...

    AutoDesk helped pioneer this kind of language back in the early 80's - contractor's were notorious for using bankrupcies to clean away bad business decisions and the software firm needed a way to protect its margins when its user base numbered in the thousands instead of millions. Calling it a license meant that the creditor's couldn't sell these off and undercut a local reseller's business. To this day AutoDesk employs people to cruise E-bay to watch for people selling previous versions of software when they get upgrades.

    I'm with you, Ed, if only because someone needs to lose their job, and a corporation post reduced earnings, as a result of this kind of business.

    I remember reading about Sony's DRM effort in Europe a few years ago, and what a disaster THAT was. No one learned any lessons from that. I'm not at all surprised by this latest business behavior this year. Short of actual prosection by Texas (go get 'em, Greg!), nothing is really going to "hurt" Sony or "convince" this multinational to change their ways. The RIAA will continue with the polemic, and the Sony's of the world will continue to inflict rough handling on the honest consumer who dares to buy a product.

    It will make little difference, but ... NO MORE SONY for me. I'll junk my PS2. I just bought a Bose TriPort CD system so I could throw out my old Walkman CD player. My HandyCam, I may just give to the ex. This last outrage convinced me that I want no part of their business model as a consumer, at all. Maybe if enough of you follow suit, a measurable impact will be felt by the huge multimedia electronics giant.... Heh, fat chance, eh?

    I would agree about not buying sony stuff. I WAS going to look at a new camcorder, and have used sony in the past. But, with their latest consumer-un-friendly actions, Idon't think I will purchase a new sony camcorder. BUT, how do I even communicate to sony that I won't buy their products, and the reason why? You can't even find a mail or email addres, or phone number, anywhere; most corporations have vanished this information from sight. Sometimes the INVESTOR sites have it; but then the letters never get delivered, either. Nick

    My household has also taken the "no Sony" pledge. Although we are not going to dispose of products we already own, new purchases aren't going to happen. And unlike some situations, where the boycotter might not have bought any Sony equipment anyway, I believe they have lost real sales with me.

    I just replaced my wife's aging Dell with an HP desktop and Samsung LCD monitor. I refused to even consider VAIO's or Sony monitors. (I know HP has been the subject of discussion on this list, too, but I myself have had good experiences with HP.)

    I also just bought one of my adult children a Canon digital camera and another offspring a Samsung MP3 player, again ignoring anything Sony might offer. We will likely buy another digital camera for someone else soon and I am ready to replace a Sony Trinitron TV I bought about 20 years ago. I have warned my children and friends about buying Sony entertainment products.

    I was previously disposed to buy Sony products. Not anymore. Like the earlier poster, I'd like to convey this information directly to Sony. If anyone has an answer to that, let us know!

    I was already becoming rather anti-sony a couple of years ago. They simply are not the same company that they were in the 70s and early 80s. They used to stand up for their consumer's rights, and their quality was worth the premium that you paid for their products.

    Now, the only part of that left is the premium prices.

    Write a letter to the Chairman and CEO of Sony Corporation of America, Howard Stringer, to express your dissatisfaction with the company. His corporate address is: 550 Madison Avenue 33rd Floor New York, NY 10022-3211 I know it may be old fashioned to write a letter, but I don't know of a way to get his e-mail address. I learned of Mr. Stringer's address from a book available in most libraries. It is the Standard & Poor's Register of Corporations. It should be in the Reference section. It lists the names of the officers and directors and their corporate address. I has info on most public corporations. If enough people write a letter, maybe they will get the message.

    If enough people stop buying Sony's products that their sales go down by 5% this year they'll get the message and so will the rest of the recording industry.  Letters are meaningless if their sales don't drop.  If their sales drop significantly, they'll get the message.

    True, but if their sales drop and they don't get the letters, the can attribute the decline to other factors, like higher incidence of piracy.

    Personally, I would like to see Sony's major stockholders informed about the numerous boycotts.

    I wonder if you, someone at InfoWorld, or one of your readers who is a member of the class in this suite will actually bring these concernd up to the judge. This is a proposed settlement. It's not to late to object, but will anyone actually do that?

    A class member can exempt themselves from a proposed settlement and retain the right to sue Sony. Also, if you live in one of the states suing Sony, contact your Attorney General.
