Censorship Picture Comes Into Sharper Image

Be it a database server or an air purifier, do you have the legal right to publicly criticize a product you've purchased? The good news is, yes, you apparently still do. The bad news is that we can't be sure for how much longer.


We owe the good news to Consumers Union's success last week in getting a SLAPP (Strategic Lawsuits Against Public Participation) lawsuit by Sharper Image thrown out of court. Sharper Image had accused Consumers Union of product disparagement due to reviews it published in Consumer Reports of the Ionic Breeze Quadra air cleaner. Consumers Reports deemed the product "ineffective" and said it produces "almost no measurable reduction in airborne particles." Sharper Image argued that the reviews were flawed and unfair because Consumer Reports failed to take into account how "vastly different" its technology is from other air purifiers. Under California's anti-SLAPP law, a federal judge ruled there was no reasonable probability of Consumer Reports' statements being proved false and dismissed Sharper Image's case. Reading over Sharper Images' arguments, though, I was struck by how similar what they were saying is to what we we've just been hearing from those who defend censorship clauses in software license agreements. (For a taste of the pros and cons on those, see the reader commentary on my recent "Getting the Facts on Microsoft Benchmarks" story.) Like the Microsofts and Oracles, Sharper Image was essentially claiming that only they can judge how, where, and by whom their technology can be assessed. Only we understand our technology, so anyone who criticizes our products is unfairly disparaging us.

Now, as far as I know, Sharper Image doesn't have a EULA on its air purifiers saying you have to get their permission to publish reviews or benchmark performance results. And I don't know of any software companies that do have such EULAs ever having gone so far as to actually try to file a lawsuit against a customer for violating the censorship clause. Still, I have to believe it's only a matter of time until we see the combination -a SLAPP-type lawsuit based on violating a EULA censorship clause. What I don't know is whether the first one will be over middleware or a household item. More and more, SLAPP lawsuits are standard operating procedure for any number of corporate giants that care less about whether they win or lose the case than they do using their legal muscle to harass critics however they can. And EULAs have shown up on toner cartridges and woodworking tools, so why not air purifiers?

The bad news is that such a lawsuit almost surely won't be filed against Consumers Union or someone else with the ability to fight back. SLAPP lawsuits and censorship are identical in the respect that they are at their most effective in silencing those who don't have the legal means to resist the threats. And that's all the more reason why we need to raise our voices loud and clear against the companies that use them -- just to help make sure they get the tarnished image they deserve.

This trend has got to stop. What we need are some powerful allies in Congress who have enough clout to get some pro-consumer bills passed. The press can help too by noting onerous licensing terms, DRM methods, and a company's history in filing SLAPP-like or DMCA suits with regards to their products. They have really dropped the ball on this. Ed, we need you a national magazine again.

And that isn't to happen with the current administration and one sided congress. So get used to it. As long as big gov't is on the side of big business, you can forget it.

Remember who it was that signed the DMCA into law. The point is neither side cares that much. Whether it is big business or trial lawyers whose interests are honored in a bill, it is almost always the average Joe whose interests are not.

Personally, I'm not a fan a regulation and legislation of the free market but this is one area where it is definitely needed. Both parties have had plenty of time to keep the crazy patent rush and overprotective measures against copying in check. Both sides have failed miserably.

Don't forget the Digital Recording Act, which became law in 1992. This legislation virtually killed consumer grade DAT recorders in the US because of an warranted fear (based on limited anecdotal evidence in Japan) that it would lead to widespread CD piracy. I believe the balance of the Congress that authored and passed the bill was shifted in the other direction at the time. Guess there is more than one party looking out for big business and shafting the little guy.

What I don't understand - and maybe Ed can address - is why the computer magazines like InfoWorld the the ZD rags don't establish a policy of simply not reviewing any product that has an EULA that limits right to freely evaluate and review. If the magazines had this policy and reviewed several competitors but left the column blank on others (with a recommendation not to purchase those), it seems to me that those companies would realize lost sales and would alter their EULAs to permit review. My guess is that the magazines fear losing ad revenue. But if the two or three major publishers decided together to enact such a policy, where are those advertising dollars going to go?

The short answer is that any company that has a censorship clause in its EULA is probably willing to forego participating in a comparison that it can't control. Oracle in particular has a history of refusing to participate in reviews, and it's Oracle that really invented the censorship clause in the first place. And even if the publication was willing to defy the censorship clause -- as InfoWorld once did when Oracle tried to invoke it -- from a practical point of view it can be very hard to fairly evaluate high-end server software without the vendor's tech support. -- Ed Foster

Ed, since you've experience in the world of IT journalism, why is it that so few seem to publish restrictive DRM methods? Further, why don't they seem to take serious points off on their reviews because such practices are employed. A cynical mind says they are afraid of hurting advertising revenue, but I cannot help but wonder if nasty EULAs, DRM, and the like are simply considered as acceptable practices by most reviewers. In either case, what can be done to change this?

Well, one of the main reasons is because software reviews are usually done on the basis of pre-release versions of the product that don't have the EULA or DRM attached. That way the publication can have the review ready to go the moment the product is released, which is when people want to read it.

Ed, you missed this point in Danny's commentary:

Instead of completely omitting a product with a draconian EULA, the magazines should publicize this fact. If enough people were made aware of the company's practice, the unwanted attention might just result in an "attitude adjustment".

I know at least one time PC Magazine published a separate story detailing why they could not include Oracle in a database comparison. Outside of Oracle, this isn't an issue that has come up very often with the major computer publications because most vendors will cooperate in the review process. The publication therefore won't even be aware of the fact that the product's EULA has a censorship clause. It's smaller publications, independent labs, academics and corporate customers who are more likely to be intimidated by these clauses. -- Ed

The Chicago Sun-Times has an article on a similar lawsuit dealing with a web site they have created to complain about "Spray on Siding" which they had put on their house. Another recent news item along these lines: provisions in the contracts of electronic voting machine vendors which (a) allow them not to construct an audit trail of votes cast and (b) prevent anyone else -- other than the vendors -- from examining the code which tallies the votes. For (b), the rationale is that the code is protected by trade-secrets laws and regulations.

i retired two years ago from the computer biz, and know that many [especially government] customers demanded copies of our operating system's source code as part of their terms and conditions of purchase.

one pretty simple solution we used frequently was to get the customer to agree to put a copy into escrow. once there, the customer couldn't waltz in and browse the code any time they wanted, but under proper and agreed-upon circumstances, it might be able to be examined.

yeah, i'm not a lawyer, either, and don't know the detailed T's and C's of those contracts, but maybe something like that could be applied to the Diebolds of the world so that if there's a serious gripe about the veracity of the voting, a "white room" lab could look at the code, check it for the possibility of doing whatever bad things it was accused of [:)] and the vendor held accountable if they really screwed up.
